1. Scope and definitions

   1. These general licence terms (“Licence Terms”) apply when you, as an installer (“you”), purchase a licence (the “Licence”) through the Tool and apply it to a Solution. A Licence grants a right of use that is applied to an End User’s Solution. These Licence Terms apply to every Licence offered by Niko through the Tool, whether already available or added at a later date.

   2. For the purposes of these Licence Terms: (i) “End User” means your customer, whether an individual or a business, to whose Solution the Licence is applied; (ii) “Licence” means any right of use that you purchase through the Tool and that is applied to a Solution, irrespective of its nature or scope, including but not limited to the unlocking or activation of an additional functionality; and (iii) “Niko Configuration Software”, “Solution” and “Tools” have the meanings given to them in the Terms and Conditions for Configuration and Commissioning of Niko Smart Solutions (the “Configuration Terms”). Capitalised terms not defined in these Licence Terms have the meanings given to them in the Configuration Terms.

   3. These Licence Terms supplement the Configuration Terms, which remain fully applicable to your use of the Niko Configuration Software and the other Tools. In the event of any conflict, these Licence Terms prevail in relation to the Licence.

   4. These Licence Terms govern exclusively the relationship between Niko and you as an installer acting in the course of your professional activities. They do not create any rights or obligations for the End User and are without prejudice to (i) any rights that an End User who is a consumer may derive from mandatory law and (ii) the terms governing the relationship between Niko and the End User. You remain solely responsible for your relationship with the End User and for compliance with the laws and regulations applicable to that relationship, including consumer law where the End User is a consumer.

2. Nature and grant of the Licence

   1. Each Licence is granted on a one-to-one basis for a specific Solution. In the Tool, you select one or more Solutions and purchase, in a single transaction, one Licence for each selected Solution.

   2. A Licence is personal, non-exclusive, non-transferable and non-sublicensable. It is linked to the Solution to which it has been applied and not to your account. The Licence follows the relevant End User’s Solution.

   3. You shall purchase and apply a Licence only at the request and in the interests of the relevant End User, in accordance with Articles 1.2, 1.3 and 1.4 of the Configuration Terms. You shall ensure that, where required, you have obtained the End User’s necessary consent or authorisation before applying the Licence to their Solution and that you have properly informed the End User in advance of the nature, price and consequences of the Licence. You shall indemnify Niko against any claim by an End User arising from your failure to comply with these obligations.

3. Fees and right of withdrawal

   1. The fee for a Licence and the applicable payment model (whether one-off or recurring) are determined for each Licence and communicated to you through the Tool at the time of purchase. Unless otherwise stated at the time of purchase, the Licence is purchased by means of a one-off payment per Solution and does not give rise to a subscription or recurring fee. All prices are exclusive of VAT.

   2. The Licence is activated following confirmation of the purchase, provided that the Solution is connected to the internet. Invoicing takes place following activation, with payment due within thirty (30) days of the invoice date.

   3. If payment is not made within the applicable payment period, we may automatically deactivate the relevant Licence, without prejudice to our right to payment of the amounts due and to default interest and compensation in accordance with the statutory provisions on late payment in commercial transactions.

   4. You purchase the Licence in the course of your professional activities. Accordingly, any statutory right of withdrawal applicable to consumers in relation to distance contracts does not apply. The purchase becomes final upon confirmation of the purchase through the Tool.

4. Term

   1. The term of a Licence is determined for each Licence and communicated to you through the Tool. Unless otherwise stated, the Licence remains valid for the duration of the use of the Solution to which it has been applied.

5. Withdrawal and discontinuation

   1. We may withdraw your access to the purchase and application of Licences if you breach these Licence Terms, the Configuration Terms or any other applicable Niko terms, or in the event of misuse, fraud or circumvention of the licensing or activation mechanisms. Such withdrawal concerns your ability to purchase or apply further Licences. We will not normally deactivate Licences that have already been applied to Solutions. However, we reserve the right to do so where the application itself results from misuse or fraud, or in the event of non-payment in accordance with Article 3.3.

   2. We may discontinue or modify a Licence or the underlying functionality, in whole or in part, for technical, commercial or other reasons, including in respect of installers who have already purchased the Licence. We will give you reasonable prior notice, unless immediate discontinuation is required for security, technical or legal reasons.

   3. If a Licence is discontinued within twelve (12) months of your purchase and, as a result, you can no longer use the Licence as could reasonably have been expected, we will refund the unused portion on a pro rata basis. Except for this pro rata refund, discontinuation or withdrawal does not give rise to any compensation.

6. Warranty and liability

   1. Article 3 (Warranty) and Article 4 (Liability) of the Configuration Terms apply mutatis mutandis to each Licence. The aggregate limitation of liability of EUR 500 set out in Article 4.2 of the Configuration Terms remains fully applicable and constitutes a single combined cap for your use of the Tools and all Licences taken together. The purchase of a Licence does not affect this limitation and does not create an additional or separate cap. These limitations do not apply in the event of wilful misconduct, gross negligence or damage arising from personal injury.

7. Miscellaneous

   1. We may amend these Licence Terms from time to time. The amended version will be communicated through the Tool or another appropriate channel. Any further purchase or application of Licences after that communication constitutes acceptance of the amended Licence Terms.

   2. For all matters not expressly governed by these Licence Terms, the Configuration Terms remain fully applicable. If any provision is invalid, the remaining provisions will remain in full force and effect.

   3. These Licence Terms are governed by Belgian law. Any dispute shall be submitted to the courts of Ghent, Dendermonde division, in accordance with Article 9.6 of the Configuration Terms.

1. Toepassingsgebied en definities

   1. Deze algemene licentievoorwaarden (“Licentievoorwaarden”) zijn van toepassing wanneer je als installateur (“je”, “jij”) via de Tool een licentie (de “Licentie”) aankoopt en toepast op een Oplossing. Een Licentie verleent je een gebruiksrecht dat op de Oplossing van een Eindgebruiker wordt toegepast. Deze Licentievoorwaarden gelden voor elke Licentie die Niko via de Tool aanbiedt, ongeacht of deze reeds beschikbaar is dan wel later wordt toegevoegd.

   2. Voor de toepassing van deze Licentievoorwaarden wordt verstaan onder: (i) “Eindgebruiker”: jouw klant, particulier of bedrijf, op wiens Oplossing de Licentie wordt toegepast; (i) “Licentie”: elk gebruiksrecht dat je via de Tool aankoopt en dat op een Oplossing wordt toegepast, ongeacht de aard of omvang ervan, onder andere maar niet beperkt tot het ontgrendelen of activeren van een bijkomende functionaliteit; (iii) “Niko Configuratiesoftware”, “Oplossing” en “Tools”: zoals gedefinieerd in de Voorwaarden voor configuratie en ingebruikname Niko smart solutions  (de “Configuratievoorwaarden”). Begrippen die hier niet worden gedefinieerd, hebben de betekenis die de Configuratievoorwaarden eraan geven.

   3. Deze Licentievoorwaarden vullen de Configuratievoorwaarden aan, die onverkort van toepassing blijven op je gebruik van de Niko Configuratiesoftware en de overige Tools. Bij tegenstrijdigheid primeren deze Licentievoorwaarden voor wat de Licentie betreft.

   4. Deze Licentievoorwaarden regelen uitsluitend de relatie tussen Niko en jou als installateur, in het kader van je beroepsactiviteit. Zij scheppen geen rechten of verplichtingen in hoofde van de Eindgebruiker en doen geen afbreuk aan (i) de eventuele rechten die de Eindgebruiker, wanneer deze een consument is, put uit het dwingend recht en (ii) de voorwaarden die de relatie tussen Niko en de Eindgebruiker beheersen. Je staat zelf in voor je eigen relatie met de Eindgebruiker en voor de naleving van de op die relatie toepasselijke regelgeving, met inbegrip van het consumentenrecht waar de Eindgebruiker een consument is.

2. Aard en toekenning van de Licentie

   1. Elke Licentie wordt één-op-één toegekend per Oplossing. Je selecteert in de Tool één of meerdere Oplossingen en koopt in één handeling een Licentie voor elke geselecteerde Oplossing.

   2. Een Licentie is persoonlijk, niet-exclusief, niet-overdraagbaar en niet-sublicentieerbaar. Zij is verbonden aan de Oplossing waarop zij werd toegepast en niet aan jouw account. De Licentie volgt de Oplossing van de betrokken Eindgebruiker.

   3. Je koopt en past een Licentie enkel toe op verzoek van, en in het belang van, de betrokken Eindgebruiker, overeenkomstig art. 1.2, 1.3 en 1.4 van de Configuratievoorwaarden. Je staat ervoor in dat je, waar vereist, over de nodige toestemming of machtiging van de Eindgebruiker beschikt vooraleer je de Licentie op diens Oplossing toepast, en dat je de Eindgebruiker vooraf correct informeert over de aard, de prijs en de gevolgen van de Licentie. Je vrijwaart Niko tegen elke aanspraak van een Eindgebruiker die voortvloeit uit de niet-naleving van deze verplichtingen.

3. Vergoeding en herroeping

   1. De vergoeding voor een Licentie en het toepasselijke betaalmodel (eenmalig dan wel periodiek) worden per Licentie bepaald en aan jou meegedeeld via de Tool op het ogenblik van aankoop. Tenzij bij de aankoop anders wordt aangegeven, gebeurt de aankoop via een eenmalige betaling per Oplossing en geeft zij geen aanleiding tot een abonnement of periodieke vergoeding. Alle prijzen zijn exclusief btw.

   2. De Licentie wordt geactiveerd na bevestiging van de aankoop, op voorwaarde dat de Oplossing online verbonden is. De facturatie gebeurt na activering, met een betalingstermijn van dertig (30) dagen na factuurdatum.

   3. Bij niet-betaling binnen de betalingstermijn kunnen wij de betrokken Licentie automatisch deactiveren, onverminderd ons recht op betaling van de verschuldigde bedragen en op de nalatigheidsinteresten en vergoedingen overeenkomstig de bepalingen inzake betalingsachterstand bij handelstransacties.

   4. Je koopt de Licentie in het kader van je beroepsactiviteit. Het herroepingsrecht bij verkoop op afstand (Boek VI WER) is bijgevolg niet van toepassing. De aankoop is definitief vanaf de bevestiging van de aankoop in de Tool.

4. Duur

   1. De duur van een Licentie wordt per Licentie bepaald en aan jou meegedeeld via de Tool. Bij gebreke aan andersluidende bepaling geldt de Licentie voor de duur van het gebruik van de Oplossing waarop zij werd toegepast.

5. Intrekking en stopzetting

   1. Wij kunnen je toegang tot de aankoop en toepassing van Licenties intrekken indien je deze Licentievoorwaarden, de Configuratievoorwaarden of enige andere toepasselijke voorwaarden van Niko schendt, of bij misbruik, fraude of omzeiling van de licentie- of activeringsmechanismen. Deze intrekking betreft je mogelijkheid om nog (nieuwe) Licenties aan te kopen of toe te passen. Licenties die reeds op Oplossingen werden toegepast, deactiveren wij in principe niet retroactief. Wij behouden ons evenwel het recht voor om dit wel te doen indien de toepassing zelf het gevolg is van het misbruik of de fraude in kwestie, dan wel in geval van niet-betaling overeenkomstig art. 3.3.

   2. Wij kunnen een Licentie of de onderliggende functionaliteit om technische, commerciële of andere redenen geheel of gedeeltelijk stopzetten of wijzigen, ook ten aanzien van installateurs die de Licentie reeds hebben aangekocht. Wij brengen je hiervan voorafgaand op de hoogte met een redelijke termijn, behalve indien onmiddellijke stopzetting vereist is om veiligheids-, technische of wettelijke redenen.

   3. Indien de stopzetting van een Licentie plaatsvindt binnen twaalf (12) maanden na je aankoop en je hierdoor de Licentie niet meer kan benutten zoals redelijkerwijs mocht worden verwacht, betalen wij je het niet-benutte gedeelte pro rata terug. Behoudens deze pro-rata terugbetaling geeft een stopzetting of intrekking geen aanleiding tot schadevergoeding.

6. Garantie en aansprakelijkheid

   1. Artikel 3 (Garantie) en artikel 4 (Aansprakelijkheid) van de Configuratievoorwaarden zijn van overeenkomstige toepassing op elke Licentie. De in artikel 4.2 van de Configuratievoorwaarden bepaalde totale aansprakelijkheidsbeperking (500 EUR) blijft onverkort gelden en geldt als één gezamenlijk plafond voor je gebruik van de Tools en alle Licenties samen. De aankoop van een Licentie doet daaraan geen afbreuk en creëert geen bijkomend of afzonderlijk plafond. Deze beperkingen gelden niet in geval van opzet, grove schuld of schade voortvloeiend uit lichamelijk letsel.

7. Overige bepalingen

   1. Wij kunnen deze Licentievoorwaarden van tijd tot tijd wijzigen. De gewijzigde versie wordt meegedeeld via de Tool of een ander gepast kanaal. De verdere aankoop of toepassing van Licenties na die mededeling geldt als aanvaarding ervan.

   2. Voor alles wat niet uitdrukkelijk in deze Licentievoorwaarden is geregeld, gelden de Configuratievoorwaarden onverkort. De ongeldigheid van een bepaling tast de overige bepalingen niet aan.

   3. Deze Licentievoorwaarden worden beheerst door Belgisch recht. Geschillen worden beslecht door de rechtbank van Gent, afdeling Dendermonde, overeenkomstig art. 9.6 van de Configuratievoorwaarden.
